TERMS AND CONDITIONS OF
PARTICIPATION OR CONTRIBUTION
This
defines the Agreement governing your participation in and contribution to Career Ventures' activities and work products. 1. This Agreement is effective as of your execution
thereof.2. Intellectual Property Rights: CV reserves all
rights to the content and appearance of any of CV's text, publications, newsletters, articles, opinions, views, stories,
graphics, images, and the selection and arrangement of information under the intellectual property laws of at least the United
States of America.3. User Submissions: CV may permit publication of information you submit
to CV ("User Submissions"). User Submissions are deemed non-confidential. You grant or warrant that the owner of
relevant rights granted CV and/or relevant affiliated companies a royalty-free, perpetual, irrevocable, nonexclusive, worldwide
license to use, reproduce, modify, publish, edit, translate, distribute, perform, display, and make derivative works of such
User Submission, in whole or in part, and in any form, media or technology, whether now known or hereafter developed, and
further including the unfettered right to sublicense such rights, for which you or the owner of relevant rights will be further
compensated solely with a copy of same upon request if such submission is included therein.4.
You shall be solely responsible for your own User Submissions and the consequences of submitting them. In connection
with User Submissions, you agree that you will not submit : (i) material that is copyrighted, protected by trade secret or
otherwise subject to third party proprietary rights, including privacy and publicity rights, unless you are the owner of such
rights or have permission from their rightful owner to post the material; (ii) falsehoods or misrepresentations that could
damage CV or any third party; (iii) material that is obscene, defamatory, threatening, harassing, abusive, hateful or embarrassing
to another user or any other person or entity; (iv) advertisements or solicitations of business; (v) chain letters or pyramid
schemes; or (vi) impersonate another person.5. Limitation of liability: in no event shall CV
or its officers, directors, employees, or agents, be liable for any direct, indirect, incidental, special, punitive or consequential
damages whatsoever, including without limitation lost profits or damages resulting from your submissions, whether based on
warranty, contract, tort or any other legal theory, and whether or not the company is advised of the possibility of such damages.
The foregoing limitation of liability shall apply to the fullest extent permitted by law in the applicable jurisdiction.6.
Indemnity: You agree to defend, indemnify and hold harmless CV and its officers, directors, employees and agents, from
and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses, including, but not
limited to attorney's fees, arising from: (i) your submissions to CV; (ii) your violation of any term of this Agreement;
(iii) your violation of any third party right, including without limitation any copyright, property, or privacy right; or
(iv) any claim that one of your User Submissions caused damage to a third party. This defense and indemnification obligation
will survive this Agreement. CV shall notify you of any such claim, suit, or proceeding, and may assist you, at your expense,
in defending any such claim, suit or proceeding.7. Choice of Law: This Agreement,
including all matters of construction, validity and performance, shall be governed by and construed and enforced in accordance
with the laws of CV's jurisdiction as applied to contracts made, executed, and to be fully performed therein by citizens
and without regard to the conflict of law rules thereof.8. Venue: Exclusive jurisdiction
and venue for any action brought under this Agreement shall be the state and federal courts sitting in CV's jurisdiction
to which you agree to submit to the exclusive jurisdiction and venue thereof for such purpose.9.
Integration: This instrument contains the entire and only agreement between the parties and supersedes
all preexisting agreements therebetween respecting its subject matter. Any representation promise, or condition
in connection with such subject matter that is not incorporated in this Agreement shall not be binding on either party.
No modification, renewal, extension, or waiver, and, except as provided herein, no termination of this Agreement or
any of its provisions, shall be binding on the party against whom enforcement of such modification, renewal, extension, waiver,
or termination is sought, unless made in writing and signed on behalf of such party by one of its executive officers.10.
Severability: If any provision of this Agreement is deemed invalid by a court of competent jurisdiction,
the invalidity of such provision shall not affect the validity of the remaining provisions of this Agreement, which shall
remain in full force and effect. No waiver of any term of this Agreement shall be deemed a further or continuing waiver of
such term or any other term, and CV's failure to assert any right or provision under this Agreement shall not constitute
a waiver of such right or provision. Agreed and Understood by:
